Unify360™ Platform Terms of Service

Welcome to the Unify360™ Platform (“Platform”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Business,” or “you”) and Unify360™ (“Unify360,” “we,” “us,” or “our”). By accessing our Platform, using our AI tools, or engaging our services, you agree to these Terms.

1. THE SERVICE & LICENSE

Unify360 provides an AI-driven marketing and reputation management suite, including AI Reviews, AI Messaging, and AI Social (the “Service”).

  • Limited License: We grant you a non-exclusive, non-transferable, revocable license to access the Platform for your internal business purposes.
  • AI Usage: You acknowledge that certain features (e.g., AI Auto Replies, AI Agent) utilize machine learning. While Unify360 strives for accuracy, we do not guarantee the correctness or appropriateness of AI-generated content. You are ultimately responsible for reviewing and approving all AI-generated responses before they are sent to your customers.

2. USER RESPONSIBILITIES & CONTENT

  • Account Integrity: You are responsible for maintaining the confidentiality of your login credentials.
  • Ownership of Content: You retain ownership of all data, text, and images you upload (“User Content”). By uploading, you grant Unify360 a worldwide, royalty-free license to host, use, and process this data to provide and improve our Services.
  • Prohibited Conduct: You agree not to use the Platform for any illegal activity, including the transmission of "spam," defamatory content, or materials that infringe on third-party intellectual property.

3. MOBILE MESSAGING & COMPLIANCE (A2P 10DLC)

If you use our AI Messaging or SMS features, you agree to the following:

  • Consent: You certify that you have obtained express written consent from your Consumers to contact them via SMS in compliance with the TCPA (Telephone Consumer Protection Act).
  • A2P 10DLC: You agree to provide accurate business registration information as required by mobile carriers. Unify360 is not responsible for message delivery failures resulting from your failure to register or maintain compliance with carrier requirements.

4. BILLING AND PAYMENTS

Subscription Plans and Commitment Terms: Access to the Platform is provided on a subscription basis under either a 6-month or 12-month commitment term (the “Commitment Term”), as selected by you during checkout. By signing up, you agree to remain subscribed and pay all associated fees for the entirety of your selected Commitment Term.
  • Pay Monthly: If you select the monthly billing option, your payment method on file will be automatically charged each month for the duration of your Commitment Term.
  • Pay Upfront: If you select the upfront billing option, you will be billed in full at the start of the Commitment Term for the entire duration of the term.
Early Cancellation and Termination: Because Unify360 offers discounted rates in exchange for a commitment term, early cancellations of 6-month or 12-month subscriptions are not eligible for refunds. If you request cancellation before the end of your selected Commitment Term:
  • Your service will remain active until the end of the current term, and you remain responsible for paying all remaining monthly charges for the rest of that Commitment Term.
  • Unify360 reserves the right to charge your payment method immediately for any remaining balance of the Commitment Term upon your early cancellation request.
Failed Payments: If a scheduled monthly payment fails, you agree to provide an alternative payment method within 5 business days. Failure to maintain an active payment method does not relieve you of your financial obligation for the remainder of your Commitment Term. Unify360 reserves the right to

Automatic Renewal: Upon the expiration of your Commitment Term, your subscription will automatically renew on a month-to-month basis at the then-current standard monthly rate, unless you cancel your subscription at least 30 days prior to the expiration of the current Commitment Term.
 
Refund Policy: All fees and charges paid to Unify360 are completely non-refundable, except as required by law or as explicitly stated in writing by Unify360.

5. INTELLECTUAL PROPERTY

  • Unify360 Property: All software, algorithms, dashboard designs, and templates provided by Unify360 remain the exclusive property of Unify360.
  • Feedback: Any suggestions or feedback provided to us may be used by Unify360 without compensation or obligation to you.

6. DISCLAIMERS & LIMITATION OF LIABILITY

  • "As-Is" Basis: The Platform is provided "AS IS." We disclaim all warranties, express or implied, including fitness for a particular purpose.
  • Limitation of Liability: To the maximum extent permitted by law, Unify360 shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising from your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you to Unify360 in the 12 months preceding the claim.

7. INDEMNIFICATION

You agree to indemnify and hold harmless Unify360 and its affiliates from any claims, losses, or legal fees resulting from your breach of these Terms, your User Content, or your violation of any third-party rights (including privacy or TCPA claims).

8. TERMINATION

We reserve the right to suspend or terminate your account if you violate these Terms or if your account remains unpaid. You may terminate your account at any time via the Platform settings or by contacting support.

9. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Florida. Any dispute arising from these Terms shall be resolved through final and binding arbitration rather than in court, except for small claims matters.
